1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the STR3 website at str3.com (the "Site"), the nunNEO diagnostic tools, and any related content, tools and services we make available (together, the "Services"). By accessing the Site or using any of the Services, you agree to these Terms. If you do not agree, do not use the Site or the Services.
These Terms are a legal agreement between you and Sweep & Co LLC, doing business as STR3.

2. Who We Are

STR3 is the brand of Sweep & Co LLC, a Massachusetts limited liability company ("STR3," "we," "us" or "our"). We are a brand and strategy studio serving healthcare and MedTech companies, and the maker of nunNEO, our proprietary brand intelligence tool.

3. Definitions

Services  means the Site, the nunNEO diagnostic tools, and any content, tools, reports or services we provide.

nunNEO  means our proprietary brand intelligence tool and any diagnostics, reports or outputs it generates.

Diagnostic or Probe  means a brand or go-to-market diagnostic you request through nunNEO, and the report we deliver.

Engagement  means a paid consulting or professional-services engagement between you and us, governed by a separate written agreement.

Client Materials  means information, content or materials you provide to us or submit through the Services.

Deliverables  means work product we create for you under an Engagement.

4. Use of the SIte

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your own lawful business and professional purposes, subject to these Terms.

You agree not to:

• Use the Services in violation of any applicable law or regulation

• Copy, scrape, harvest or systematically extract data or content from the Site

• Reverse engineer, decompile, or attempt to derive the underlying methods, models or source of nunNEO or any of our tools

• Interfere with, disrupt or attempt to gain unauthorized access to the Services or their systems

• Use the Services to develop or train a competing product or model

• Misrepresent your identity or your authority to submit information

• Use the Services in any way that infringes the rights of others or that is unlawful, harmful, fraudulent or deceptive

5. nunNEO Diagnostic Tools

nunNEO provides brand and go-to-market diagnostics for businesses. The tools are intended for business and professional use only.

Eligibility and submissions.  By requesting a Diagnostic, you confirm that you are acting on behalf of a business and that you have the authority to submit the information you provide. You are responsible for the accuracy of the information you submit.

License to provide the Diagnostic.  You grant us a limited license to use the information you submit for the purpose of generating and delivering your Diagnostic and report, and to operate and improve the Services, subject to our Privacy Policy. Information you submit through nunNEO is not used to train AI models.

What you receive.  A Diagnostic report is an analytical and informational assessment of your brand or go-to-market. It reflects our tools, methods and professional judgment as applied to the information available.

No guarantee of outcomes.  Diagnostics and reports are provided for informational purposes. We do not guarantee any particular business result, ranking, revenue, pipeline or outcome. You are responsible for how you use any report.

Not professional advice.  Diagnostics and reports do not constitute legal, financial, medical, clinical, regulatory or other professional advice, and nothing in the Services should be relied upon as such.

Changes to the tools.  We may modify, limit, suspend or discontinue any part of nunNEO at any time. Any fees for a Diagnostic or other service will be stated at the point of purchase, and paid services may be subject to additional terms.

6. Consulting Services and Engagements

Paid consulting and professional-services Engagements are governed by a separate written agreement, such as a Master Services Agreement or Statement of Work, executed between you and us. These Terms govern your use of the Site and the Services generally. Where a separate Engagement agreement applies, that agreement controls for that Engagement to the extent of any conflict with these Terms.

7. Intellectual Property

Our intellectual property.  The Site, nunNEO, and all of our tools, software, methodologies, frameworks, processes, know-how, templates, and content, and all related intellectual property, are owned by us or our licensors. Except for the limited rights expressly granted in these Terms or in an Engagement agreement, nothing transfers any ownership or right in our intellectual property to you.

Trademarks.  STR3, nunNEO, and our logos and brand elements are trademarks of Sweep & Co LLC. You may not use them without our prior written permission.

Third-party frameworks.  Certain methodologies and concepts we apply are derived from third-party sources, which we credit in our materials where applicable. We claim no ownership of those underlying third-party frameworks.

Client Materials.  You retain ownership of your Client Materials. You grant us a license to use them as necessary to provide the Services and to perform any Engagement.

Deliverables.  Ownership of Deliverables created under an Engagement is governed by the applicable Engagement agreement, and typically transfers to you upon full payment. We retain ownership of our pre-existing and proprietary intellectual property, including our tools, methodologies and know-how, and of any general skills, concepts and improvements we develop.

Feedback.  If you provide feedback or suggestions about the Services, you grant us the right to use them without restriction or obligation to you.

8. Confidentiality

Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information with reasonable care, to use it only for the purposes contemplated by these Terms or an Engagement, and not to disclose it to third parties except as permitted or required by law. This section does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully obtained from a third party.
